End User Licence Agreement (desktop app)

Updated

In short: We do not sell you the app; we give you the right to use it while your trial or subscription is active. Your account works on a set number of computers at a time (1); you can move it to a new one on your account page. Do not share, resell or crack it. The app checks its licence with our server once a day and keeps working offline for up to 3 more days. When the licence ends, the app stops starting new copy groups, but it never touches your open positions. On macOS the app tells you when a new version is out, and you download it from your account page. This EULA is part of our Terms of Service.

1. Who this is between

This agreement is between you and Ai-Driven, owned by Anas Al Qatanani ("we"), the seller of TwinCopier. It covers the TwinCopier desktop app for macOS, its updates, and its help files (together, "the app").

2. Your licence

While your trial or subscription is active, we give you a licence to install and use the app. The licence is:

  • personal: for you, or for your own business, to copy between your own trading accounts;
  • non-exclusive: we may license the app to others;
  • non-transferable: you may not pass it on, sell it or sub-license it;
  • limited: number of computers that can use your account at the same time: 1. You may install the app on other computers you own, but only that number can be signed in at once.

3. What you may not do

You must not:

  • copy, share, rent, lend or resell the app or your licence;
  • remove or get around the licence check, the computer limit or any safety feature;
  • reverse engineer, decompile or disassemble the app, except where the law gives you that right and it cannot be excluded by contract (for example, to make it work with other software, or to study how it works while you use it as allowed);
  • change the app, or make a product based on it;
  • use the app against the Terms of Service, in particular on accounts that are not yours.

4. Licence checks

  • The app checks your licence with our server when you log in and then about once a day while it is online. Each check gives the app a signed licence that is valid for 24 hours.
  • If the server cannot be reached, the app keeps working for up to 3 more days with the licence it already has, and tells you to go online.
  • When your licence ends (trial over, subscription cancelled or unpaid, refund, or account closed), the app stops starting new copy groups and tells you why.
  • The licence never closes, changes or opens a position. Copy groups that are already running keep running.

5. Updates

  • We release updates to fix bugs, keep up with broker changes and improve the app.
  • On macOS the app checks for a new version and tells you. It does not download or install anything by itself. You download the new version from your account page and install it yourself.
  • Where an app version installs updates by itself (for example on Windows, when it is out), it installs only updates signed by us, and never while a position is open.
  • Some updates may be needed to keep working, for example when a broker changes its system or for security. An old version may stop working with our server or with your broker. We tell you when that is the case.

6. First open on a Mac

The app is not yet signed with an Apple Developer ID or notarised by Apple. The first time you open it, macOS blocks it once. Go to System Settings, Privacy & Security, and press "Open Anyway". You only do this once per version you install. Download the app only from twincopier.com.

7. Third-party software

The app includes open-source components. Their licence texts come with the app. Those licences apply to those components, and nothing in this EULA limits your rights under them.

Your broker's software and services are not part of the app. Their terms apply to them.

8. Ownership

The app, its code, its design and the TwinCopier name and logo belong to us or our licensors. You get only the rights written in this EULA. If you send us ideas or feedback, we may use them freely and without paying you.

9. Your data on your computer

The app stores your settings, your licence, a daily copy log and your broker logins in its own folder on your computer. Broker passwords and API keys are encrypted with your operating system's keychain. These files are not sent to us. You are responsible for backups of your computer and for keeping it secure. See the Privacy Policy for what the app sends to us.

10. Ending the licence

  • The licence ends when your trial or subscription ends, or when your account is closed under the Terms of Service.
  • When it ends, stop using the app. You may keep it installed; it will not start new copy groups.
  • You can uninstall the app at any time.

11. Warranty and liability

  • If you are a consumer, you have the legal rights that apply to digital content and digital services (in Sweden: konsumentköplagen 2022:260). This EULA does not limit them.
  • Apart from those rights, and as far as the law allows, the app is provided "as is", and the limits of liability in section 19 of the Terms of Service apply.

12. Export and sanctions

You must not use, export or re-export the app in breach of sanctions or export laws, or into a country or to a person under sanctions.

13. Order of documents

If this EULA and the Terms of Service differ on how you may use the app itself, this EULA applies. On everything else, the Terms of Service apply. Governing law and disputes: section 22 of the Terms of Service.
